Henkel completes acquisition of specialty coatings group Stahl

Henkel has successfully completed its acquisition of the Netherlands-based Stahl Group, a global player in high-performance specialty coatings for flexible materials. Following the fulfilment of all closing conditions, including the required regulatory approvals, Stahl became fully part of Henkel as of 1 October 2026, ending a process that had been closely watched across the adhesives and coatings sectors.

Stahl serves leading brands across mobility, fashion and lifestyle, luxury, and packaging markets worldwide. Its portfolio comprises leather finishing solutions, performance coatings and packaging coatings that deliver unique performance attributes and a superior consumer experience. The company employs around 1,800 people globally and generated adjusted sales of 725 million euros in fiscal year 2025, a scale that makes it a meaningful bolt-on to Henkel’s existing operations rather than a marginal addition.

“This successful closing marks another important milestone in executing our purposeful growth agenda and in strengthening Henkel’s Adhesive Technologies business,” said Henkel CEO Carsten Knobel. He noted that by entering the highly attractive adjacent category of specialty coatings, Henkel is unlocking new growth opportunities and broadening its technology portfolio across both core and new end markets. Knobel pointed out that, together with the acquisitions of ATP Adhesive Systems and Wetherby Laroc, Henkel has now closed three transactions in its Adhesive Technologies business unit this year, adding around one billion euros in combined sales and laying the foundation for further profitable growth.

Mark Dorn, executive vice president responsible for Henkel’s Adhesive Technologies business unit, said Stahl’s “asset-light, know-how-based and service-driven business model, combined with its strong customization capabilities and sustainability focus, makes it a highly attractive strategic fit.” By combining Stahl’s leading specialty coatings capabilities with Henkel’s global adhesives expertise, Dorn said the two companies are creating a more comprehensive solutions platform that will help customers innovate faster and advance their sustainability ambitions.

For the printing and packaging supply chain, the deal matters because packaging coatings sit at the intersection of appearance, protection and regulatory compliance. Coatings that confer scratch resistance, gloss, tactile effect or barrier properties are increasingly expected to meet stringent chemical and recyclability requirements. A combined Henkel-Stahl portfolio gives brand owners and converters a single, deep partner for both the adhesive that builds a structure and the coating that finishes it, simplifying specification and accountability.

The acquisition also reflects a consolidation trend across specialty chemicals, where scale, sustainability credentials and application know-how are decisive. As brand owners push suppliers to reduce formulations’ environmental footprint while maintaining performance, larger, research-rich groups are better positioned to deliver compliant solutions at global scale and to absorb the cost of regulatory testing.

Henkel’s emphasis on an “asset-light” model is noteworthy. Rather than heavy manufacturing footprints, Stahl’s value lies in formulation science, customer-specific development and service, capabilities that travel well across regions and end markets. Integrating those with Henkel’s distribution and application engineering could shorten the path from concept to commercial coating for packaging customers, who increasingly expect rapid, tailored development cycles.

The strategic logic extends beyond scale. Stahl’s strength in leather finishing, performance coatings and packaging coatings complements Henkel’s adhesive leadership, and together they address both how a product is assembled and how it is finished, two functions that brand owners increasingly want sourced from partners who understand the whole package. That end-to-end view is especially valuable as sustainability rules tighten around chemicals and recyclability.

Regulatory pressure is a quiet driver of deals like this. Coatings that must satisfy restricted-substance rules, food-contact requirements and recyclability targets demand sophisticated formulation science, and only suppliers with deep R&D can keep pace across global markets. Henkel’s size lets it absorb the cost of compliance testing and certification, while Stahl’s agility and customer intimacy help translate those capabilities into tailored solutions.

Integration will be the test. Acquisitions of this magnitude often promise synergies that take years to realise, and customers will judge success not by the announcement but by continuity of supply, consistent quality and continued innovation. If Henkel manages the transition well, the combined business strengthens a critical link in the packaging value chain at precisely the moment when coating performance and compliance are converging, giving converters a more powerful partner for the next generation of sustainable packs.

Beyond the headline synergy, the deal reflects how the chemicals sector is reorganising around sustainability. Coatings that once relied on substances now restricted by regulators must be reformulated, and only suppliers with deep R&D and global compliance infrastructure can keep pace across markets. Henkel’s scale lets it absorb that burden, while Stahl’s formulation expertise and customer intimacy help turn regulation into tailored, saleable solutions. For packaging printers, the practical upside is a coatings partner that can deliver both performance and compliance documentation, reducing the risk that a finished pack fails to meet evolving legal or retailer requirements.

For converters evaluating suppliers, the lesson is to watch how consolidators integrate, not just what they announce. The companies that thrive after acquisitions are those that protect technical relationships while expanding capability, and Henkel’s track record in adhesives suggests Stahl’s customers can expect continuity rather than disruption as the two organisations combine.
