Henkel completes acquisition of specialty coatings firm Stahl

Henkel has successfully completed the acquisition of the Netherlands-based Stahl Group, a global player in high-performance specialty coatings for flexible materials. Following the fulfilment of all closing conditions, including the required regulatory approvals, Stahl became fully part of Henkel as of October 1, 2026, in a deal that extends the German group’s adhesive technologies business into a closely adjacent and attractive category.

Stahl serves leading brands across mobility, fashion and lifestyle, luxury and packaging markets around the world. Its portfolio comprises leather finishing solutions, performance coatings and packaging coatings that deliver unique performance attributes and a superior consumer experience. The company employs around 1,800 people globally and generated adjusted sales of 725 million euros in fiscal year 2025.

Henkel CEO Carsten Knobel said the successful closing marks another important milestone in executing the group’s purposeful growth agenda and in strengthening its Adhesive Technologies business. By entering the highly attractive adjacent category of specialty coatings, Henkel is unlocking new growth opportunities and broadening its technology portfolio with product offerings in core as well as new end markets.

The Stahl transaction is the third Henkel has closed in its Adhesive Technologies business unit this year, alongside ATP Adhesive Systems and Wetherby Laroc. Together the three deals add around one billion euros in combined sales and, Knobel said, lay the foundation to further drive profitable growth. The pace of acquisition signals a clear strategic intent to consolidate adjacent capabilities rather than to grow organically alone.

Mark Dorn, executive vice president responsible for Henkel’s Adhesive Technologies business unit, said Stahl’s asset-light, know-how-based and service-driven business model, combined with its strong customization capabilities and sustainability focus, makes it a highly attractive strategic fit. By combining Stahl’s leading specialty coatings capabilities with Henkel’s global adhesives expertise, he said, the group is creating a more comprehensive solutions platform that will help customers innovate faster and advance their sustainability ambitions.

For the packaging sector, the logic is straightforward. Coatings that protect, decorate and functionally enhance flexible materials sit naturally beside adhesives, and a combined offer lets brand owners and converters source more of a pack’s performance layer from one supplier. Stahl’s packaging coatings therefore become a route for Henkel to deepen relationships with the same customers it already serves with adhesives.

The deal also reflects a wider consolidation wave in specialty chemicals, where scale, regulatory expertise and sustainability credentials increasingly decide which suppliers win multinational accounts. A 1,800-person, 725 million euro business with deep application knowledge is exactly the kind of capability a large adhesives group can fold into a global go-to-market without disrupting the customer-facing brand.

Henkel noted that welcoming Stahl’s colleagues into the Adhesive Technologies team is about jointly driving further business opportunities, not merely absorbing capacity. As sustainability requirements tighten across leather, fashion and packaging, the combined platform is positioned to offer lower-impact solutions backed by global technical support.

With closing complete, attention turns to integration. Henkel’s track record this year, three transactions and roughly one billion euros of added sales, suggests the group will move quickly to realise synergies and present customers with a broader, more joined-up specialty materials portfolio.

Integration risk remains the watch item, but Henkel’s repeated execution this year suggests a repeatable playbook: acquire know-how-rich, asset-light specialists and weave them into a global adhesives and coatings platform without disturbing the customer-facing brand. Stahl’s fit is unusually clean because coatings sit naturally beside adhesives in the same packs and the same converters, letting Henkel deepen relationships it already holds rather than hunting new accounts from scratch. For packaging customers, a combined offer of adhesives and performance coatings simplifies sourcing and aligns sustainability roadmaps, an advantage that grows as regulation tightens across leather, fashion and food contact. The numbers reinforce the logic: Stahl brings around 1,800 people and 725 million euros of adjusted sales, and together with ATP Adhesive Systems and Wetherby Laroc the three 2026 deals add roughly one billion euros, a meaningful step toward profitable growth. Henkel’s emphasis on Stahl’s customization and sustainability focus signals that the prize is not capacity but capability. With closing complete, the focus shifts to realising synergies and presenting multinational brands a broader, more joined-up specialty-materials portfolio backed by global technical support. The deal also hedges Henkel’s cyclical adhesives business by adding higher-margin, specification-led coatings, a balance that should make the group steadier through the next downcycle in consumer and industrial demand.

The acquisition rounds out a busy year for Henkel’s adhesives arm and positions the group to meet packaging customers as a single specialty-materials partner. If integration proceeds as smoothly as the two prior deals, Stahl should quickly become a cornerstone of Henkel’s coatings growth rather than a standalone name.

Taken together, Henkel’s three 2026 acquisitions show a group steadily broadening from adhesives into the surrounding specialty-materials layer that customers actually buy. Stahl is the most consequential of the trio, and its closing gives Henkel a stronger hand in packaging, fashion and mobility coatings for the years ahead.
